Desk Licence Agreement

What IndicatorEX permits You to do with the Build You paid for, on how many machines, for how long, and which acts end the permission early. It is part of the Purchase Conditions, not a substitute for them.

Definitions

Words with a capital letter carry these meanings throughout the document.

Desk
IndicatorEX, the licensor.
Licence
The Desk Licence: the permission this agreement grants You over one Build.
Term
12 months from the day the Processor confirms settlement.
Build
The .ex5 compiled for the Plan You bought, with its Datasheet.
Key
Your Desk Licence key, shaped IX-XXXXXXXX-XXXXXXXX, printed on the receipt page and in the receipt email.
Ticket
The purchase reference printed beside the Key.
Your Accounts
Brokerage accounts that are Yours or that You control in Your own name, live or demo.
Seat
One machine running the Build at a given moment.

The Licence on one card

  1. B.1
    LicenseeYou, personally. Not transferable, not assignable, not shareable.
    ObjectOne Build: the .ex5 compiled for Your Plan, plus its Datasheet.
    AccountsYour Accounts only, live or demo, any number of them.
    SeatsTwo at once: one workstation and one hosted server You control.
    Term12 months from settlement.
    After the TermStop running the Build and delete it. A new purchase starts a new Term.
    ActivationNone. The Key and the Ticket identify the purchase to support; nothing is typed into the terminal.
    Source codeNot supplied and not part of the Licence.
    Governing documentThe Purchase Conditions (T-01), of which this agreement is part.
C

Grant

  1. C.1

    On settlement the Desk grants You the Licence described in section B for the Term, conditional on Your keeping to this agreement. It is permission to run the Build, not a sale of the software.

  2. C.2

    The Term is fixed and printed in the cart before any card detail is entered. No purchase from the Desk grants perpetual or open-ended use, and nothing on the Site should be read as offering it.

D

Seats and copies

  1. D.1

    Two Seats may run at any moment, as section B states. Moving a Seat (a new laptop, a new hosted server) is allowed; remove the old copy first.

  2. D.2

    One private backup of the delivered archive may be kept, offline, for Your own use.

E

Updates during the Term

  1. E.1

    A revised Build the Desk publishes for Your Plan during the Term is Yours under this same agreement, from the same receipt page.

  2. E.2

    The Desk will make a fair effort to keep a Module running through MetaTrader releases and broker symbol changes. It does not undertake that every such change can be survived, or survived quickly.

Acts that end the Licence at once

    Stripping the Desk's name, its marks or its authorship line off the Build or the DatasheetThe Licence ends. No refund.
    Pointing the Build at someone else's balance, or relaying what it does to subscribers for a feeThe Licence ends. No refund.
  2. F.2

    Where the whole product is one file, the Desk has no lesser remedy than ending the right to hold it.

G

Ownership

  1. G.1

    All right, title and interest in the Build, its Datasheet and the IndicatorEX marks remain with IndicatorEX. Nothing in this agreement transfers any of it.

H

The last day

  1. H.1
    On the last day of the TermThe Licence expires. Switch the Module off and delete Your copies.
    RenewalNone happens by itself. No card is kept and no charge is made.
    ContinuingA new purchase at the price current that day, which the Desk may offer shortly before expiry.

Warranty and risk

  1. I.1

    The Build is supplied as it is, without warranty beyond what Your law refuses to let the Desk exclude. Automated trading loses money in the ordinary course of things; no profit, no result and no repeat of any published figure is promised. The Loss Disclosure (T-04) and Reading Our Results (T-05) form part of this agreement.

Survival, and asking first

    Sections F and G, and the limit of liability in T-01, survive expiry and termination alike.

  2. J.2

    A use this agreement does not plainly permit is a question for [email protected], asked before the fact rather than after it.
